This page (together with the documents referred to on it) sets out the terms and conditions (“Terms”) upon which You may purchase personal assistant services from us via our website https://blckbx.co.uk/ or use such personal assistant services funded by Your employer.
1. WHO WE ARE – BLCKBX
Welcome to BlckBx. BlckBx is brought to You by BlckBx Ltd (referred to in these Terms as “we”, “us”, “our” and “BlckBx”). We are a limited liability company, incorporated in England and Wales with our registered office as BLCKBX LTD 86-90 Paul Street London EC2A 4NE. Our company number is 12384561. Our VAT Registration Number is GB395151679.
Our service aims to improve Your work-life balance by taking away all Your personal, home and family tasks outside work. Our aim is to save You up to 30 hrs per week of Your precious time, reduce Your mental load and improve Your wellbeing.
These Terms tell You how we will provide our services to You, how You and we may change or end the contract, what to do if there is a problem and other important information.
PLEASE NOTE CLAUSE 12 WHICH LIMITS OUR LIABILITY TO YOU AND CLAUSE 7 WHICH EXCLUDES BLCKBX’S LIABILITY FOR THE OFFERINGS OF THIRD PARTIES.
In these Terms the following definitions shall apply:

2. GENERAL TERMS
2.1 By purchasing or using our Services You accept these Terms
By purchasing or using our Services, You confirm that You accept these Terms and that You agree to comply with them. If You do not agree to these Terms, You must not use our Services.
We recommend that You print a copy of these terms for future reference.
2.2 Who can use BlckBx
In order to use the Services You must be 18 years or older and possess the legal authority to enter into this Contract with BlckBx under applicable law.
You are allowed to appoint one authorised user – i.e. any other individual in Your household, who is at least 18 years old – as a person authorised to purchase and use the Services from us on Your behalf (“Authorised User”). You are responsible for the acts and omissions of Your Authorised User and must ensure they are aware of, and comply with, the terms of this Contract.
2.3 Your Information
All information provided by You or Your Authorised User (if applicable) to us or our third-party suppliers must be accurate and complete. You agree to notify us promptly of any changes to the information provided.
If You choose, or You are provided with, a user identification code, password or any other piece of information as part of our security procedures, You must treat such information as confidential. You must not disclose it to any third party other than Your Authorised User.
We have the right to disable any user identification code or password, whether chosen by You or allocated by us, at any time, if in our reasonable opinion You have failed to comply with any of the provisions of these Terms.
If You know or suspect that anyone other than You and Your Authorised User knows Your user identification code or password, You must immediately notify us at [email protected].
2.4 Your Privacy
BlckBx cares about Your privacy. We will only process personal data regarding You and Your Authorised User in accordance with our privacy policy (a copy of which is available here: https://blckbx.co.uk/privacy-policy/).
In addition, please note that when You direct BlckBx to book a third party service on Your behalf, the third party supplier will process Your personal data in accordance with their privacy policy, which You authorise BlckBx to accept on Your behalf, and which You can access via the third party supplier.
2.5 Communications
By subscribing to our Services, You agree to receive communications from BlckBx, including via WhatsApp, email and telephone calls for the purpose of BlckBx supplying the Services.
If You direct BlckBx to book a third-party service on Your behalf You may receive a text, email or call from the third party to ask questions about the booking or following up after the service has been provided.
3. YOUR SUBSCRIPTION
3.1 Signing Up
We contact You to confirm we’ve received Your Subscription request and then we contact You again (normally by the next working day) to confirm we’ve accepted it.
Please note that sometimes we reject Subscription requests, for example, because we can’t verify Your age (where the Service is age-restricted) or because You are located in a country in which we do not provide the Services. When this happens, we let You know as soon as possible and refund any sums You have paid us for such unused Services.
Once You have signed up successfully to our Services, You will be matched to a BlckBx Assistant via WhatsApp who will carry out Your chosen tasks on a monthly subscription basis.
You must maintain a valid WhatsApp account throughout the duration of the Contract so we can communicate with You via WhatsApp. It is Your responsibility to comply with the terms and conditions applicable to Your use of Your WhatsApp account.
For Corporate Clients only. If Your Subscription is paid by Your employer, You will be notified by Your employer when Your Subscription will terminate. BlckBx will not be responsible for notifying You directly. However, we will endeavour to give You one month’s notice so You can decide whether to continue using BlckBx and pay as a private customer.
3.2 Changes to our Services.
We reserve the right at any time to modify our Services, and to add or remove content, for any reason.
3.3 Fair Usage
Please note that there is a limit on the usage of our Services. Unless otherwise stated by your employer, each BlckBx Assistant will work on three active tasks at any one time. You can send as many tasks as You like and they will be organised and prioritised for You. You can add new priorities at any time.
However, if we feel that Your activities are so excessive that other users are detrimentally affected, we may give You a written notice (by email or otherwise) or limit the number of requests You can submit in a given period of time. In extreme circumstances we may terminate or suspend Your Subscription with us.
3.4 Service Hours
We provide the Services between the hours of 9am and 5:30pm on UK business days.
4. PAYMENTS
For Corporate Clients only. If You Your employer is paying for the Services then payments will be made to us by Your employer and the information below is not applicable to You.
For Private Clients.
We will collect payment for Your Subscription Fees at the beginning of of the first month of your Subscription, which is your “Trial Month” and then automatically every three months (“Quarter”) on each periodic renewal date until You or we terminate the Contract.
If You start the Services after the beginning of the month You will be charged our Subscription Fees for that month on a pro rata basis.
We accept payment by debit card or credit card. All payments are collected via our third-party payment provider, Stripe.com, and You will be required to accept their terms and conditions and privacy policy to use their service.
Once You have paid for the first month, You hereby expressly authorise us to collect renewal Subscription Fees in advance for every Quarter on the date you have signed-up (“Quarterly Renewal Date”).Please note that Your Subscription is charged at the beginning of your billing cycle and can take several days to appear on Your account. It is up to You to inform us if You change Your payment details. If we cannot take payment for any reason we may suspend or terminate Your Subscription. All Subscription Fees and applicable taxes are payable in Great British Pounds (GBP).
BlckBx Expense Account
In order for BlckBx to purchase third party products and/or services on Your behalf, You will be required to set up an expense account with BlckBx (“Personal Expense Account”) and agree to transfer in your Personal Expense Account the funds in advance to make the purchases as instructed by You. Your Personal Expense Account will be linked to a virtual card, which will be allocated to You. Please note that only your BlckBx Assistant will have access to your Personal Expense Account and will only use the virtual card to purchase third-party products and/or services as instructed by You.
You will be able to set up log-in details for your Personal Expense Account and access its information, including account balances and statements. Your BlckBx Assistant will notify you when the Personal Expense Account is running low on funds and additional funds are required for the BlckBx Assistant to make the necessary purchase.
5. TERMINATING AND SUSPENDING THE CONTRACT
5.1 Your legal right to change Your mind
Once You have signed-up for our Services, You have 14 days after the date we confirm acceptance of Your Subscription to change Your mind about it. We will refund Your Subscription Fees in full.
BUT – PLEASE READ THIS CAREFULLY:
5.2 You can end the contract with us.
After the initial 14 days cancellation period, if You wish to terminate Your Subscription You must notify us by emailing [email protected] with the subject line “Termination” at least 10 days in advance of the Monthly Renewal Date, to take effect at the beginning of the next calendar month. Please note that You must pay us for any Services provided prior to Your termination. You will also have to pay for any goods or services You purchased from third parties via the Services.
5.3 Suspending the Services.
We will contact You in advance to tell You if we’re suspending the supply of the Services, unless the problem is urgent or an emergency and it is not practicable to give You advance notice. If we suspend the Services for longer than 48 hours in any calendar month we will adjust the Subscription Fees so You don’t pay while the Services are suspended. If we suspend the supply of the Services, or tell You we’re going to suspend the supply of the Services, for more than 48 hours You can contact our Customer Service Team: [email protected] to end the Contract and we’ll refund any sums You’ve paid in advance for Services You won’t receive.
5.4 We can end the contract with You
BlckBx can end our Contract with You and claim any compensation due to us if:
6. FREE TRIALS
From time to time we may offer promotions or free trials of the Services (“Trials”). BlckBx may determine Your eligibility for a Trial and withdraw a Trial at any time without prior notice and with no liability to You. For some Trials we will require You to provide Your payment information before starting a Trial.
By providing Your payment information, You agree that we may automatically charge You for the Services at the end of the Trial and on each periodic renewal date until You cancel. However, we will send You a reminder before the Trial ends.
7. THIRD PARTY SUPPLIERS
7.1 No liability for third party goods and services
It is always possible that the goods and/or services provided by third party suppliers and made available through the Services will be defective or not to Your satisfaction. By accepting these Terms, You agree that we are not responsible for any such third party supplier’s goods and/or services and to the extent any such third party supplier’s goods and/or services are defective or not to Your satisfaction or are delayed in their delivery, You agree that we are not liable for the same. If You purchase, use or access goods and/or services from third party suppliers made available to You through the Services, You do so at Your own risk.
If there are any problems with the goods and/or services provided by third party suppliers and made available through the Services, You should contact the third party supplier directly as Your rights and remedies will be against them rather than against BlckBx.
However, we will take all reasonable steps to assist You in the resolution of any such issue.
7.2 Tasks involving third party suppliers
If You ask Your BlckBx Assistant to help with a task that involves purchasing goods and/or services from a third-party supplier, such as a nanny, cleaner or tradesman Your BlckBx Assistant will, upon Your request and permission, purchase these goods and/or services on Your behalf using your Personal Expense Account.
You will be required to enter into an agreement with the relevant third-party supplier for the goods and/or services requested. You are responsible for covering the cost of the goods and/or services, including taxes and fees.
NB: You acknowledge and agree that the terms and conditions of the third party supplier govern Your relationship with such third-party supplier and that BlckBx is not a party to any agreement between You and the third-party supplier. You are solely responsible for complying with the obligations of the third-party supplier agreement.
7.3 Payment authorisation
Prior to purchasing goods and/or services from a third party supplier, You will have the opportunity to review proposals from Your BlckBx Assistant with an estimate of how much the goods and/or services will cost. You acknowledge that the actual price of the goods and/or services may change between the time You accept a proposal and when Your BlckBx Assistant completes the purchase on Your behalf. You agree to pay the actual price of the goods and/or services purchased by the BlckBx Assistant on Your behalf.
7.4 Links to third party websites
Our Services contain links to third party websites, apps and other products and services. BlckBx is not responsible for any content or other information provided by any third party.
8. THIRD PARTY BOOKINGS
8.1 Restaurants, travel and activities
Some services such as restaurant bookings for example may be subject to acceptance or confirmation from the applicable supplier. Although we try to ensure that all availability information displayed on the Service is accurate, some suppliers may cancel or amend bookings after they have been confirmed. Flights may be cancelled with no warning or activities may cancel due to unforeseen circumstances. This is outside BlckBx’s control. BlckBx is not responsible or liable for any bookings cancelled or amended by the supplier.
8.2 Your information
You are responsible for checking that the information provided on confirmation or receipt of a booking is accurate, including Your or Your family’s name, address, date of birth and passport information. We will use reasonable efforts to check accuracy, but You should double check, especially for important bookings. We are not responsible or liable for inaccurate information provided by You to third party suppliers.
9. BUYING GIFTS
If You request Your BlckBx Assistant to purchase a gift for You, they will ask for the receiver’s name and address, and possibly a mobile number to make the purchase and delivery. You acknowledge and agree that You have express permission for this information to be shared with the BlckBx Assistant. All information You provide about Your contacts including birthday, name and address will not be shared directly with any third parties and only be used for the purpose of completing that specific task.
10. COMPLAINTS
We like to get Your regular feedback on how we’re doing supporting You and Your family. However, if You have any questions or complaints about the Services please contact us and we will look into the issue. We will acknowledge receipt of Your complaint within 24hrs and respond as soon as practically possible. Please send an email to [email protected] with the subject line: “Complaint”.
11. INTELLECTUAL PROPERTY RIGHTS
All intellectual property rights in the Services belong to BlckBx.
12. BLCKBX RESPONSIBILITY TO YOU
We’re responsible for losses You suffer caused by us breaking this Contract where the loss is:
13. OUR COMMITMENT TO SAFETY
Safety for our clients and staff is of paramount importance and non-negotiable. It guides all our actions and commitments. We expect our customers to be thoughtful, responsible and show consideration for their BlckBx Assistant. We may suspend Your account and terminate our Contract with You if Your behaviour is found to be unacceptable and against BlckBx’s ethos.
14. GENERAL
We can transfer our contract with You, so that a different organisation is responsible for supplying Your Services. We’ll tell You in writing if this happens and we’ll ensure that the transfer won’t affect Your rights under the Contract.
You can only transfer Your contract with us to someone else if we agree to this. We may not agree to any transfer. However, if we give our approval, You may transfer our guarantee to a new recipient of the Service as instructed by BlckBx from time to time .
Nobody else has any rights under this contract. This Contract is between You and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.
If a court invalidates some of this contract, the rest of it will still apply. If a court or other authority decides that some of these Terms are unlawful, the rest will continue to apply.
Even if we delay in enforcing this contract, we can still enforce it later. We might not immediately chase You for not doing something (like paying) or for doing something You’re not allowed to, but that doesn’t mean we can’t do it later.
15. GOVERNING LAW AND JURISDICTION AND DISPUTES
The English courts will have non-exclusive jurisdiction over any claim arising from, or related to, Your use of the Services. These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
